6/28/2007 10:03 AM EDT The private-equity gauntlet swallowed another slice of the U.S. auto industry Thursday, with General Motors (GM - Cramer's Take - Stockpickr) agreeing to sell Allison Transmission to The Carlyle Group and Onex Corp. for $5.6 billion.

The deal marks another step in GM's restructuring plan to shed some assets and build up cash reserves that it can use to revamp its product line and better compete with foreign-based competitors.

It's also another foray for private-equity groups into the depressed domestic auto industry, where many investment firms flush with capital and easy access to cheap credit have found buyout targets.

The Allison sale, expected to close in the third quarter pending regulatory approval, includes seven manufacturing facilities in Indianapolis and a group of distribution centers and sales offices. A Baltimore plant used for the production of conventional and hybrid transmissions used in GM's pick-up trucks and SUVs and will remain with the automaker.

"This is another important step to strengthen our liquidity and provide resources to support our heavy investments in new products and technology," said GM in a press release. "At the same time, this sale will position Allison for growth with strong partners in Carlyle and Onex, which have well-established track records of working effectively with their management teams, unions and employees."

GM had said in January that it was looking to sell Allison, which makes transmissions for commercial trucks, buses and military vehicles.

Shares of GM recently were up 62 cents, or 1.7%, to $38.03.

Wow, I understand the selloff....but its still like, damn..... It was nice knowing that the Cummins (owned by the Ford Company) and Allison (owned by GM) had the monopoly over Dodge. Right along with Dana Spicer Co. lol. But hopefully this will give a well needed boost to GM. I REALLY dont want to see the General fall. That would be very depressing. Carlyle and Onex are American companies right? I would hate to see a foreign company gain control over our military transmission supplier.

Actually, Cummins has a tie to Dodge (not Ford), and Ford's diesel engine is made by Navistar (the parent company of International).

Regardless, it is a real shame to see that. The Allison 6-spd is, in this Editor's humble opinion, one of the finest HD automatic transmissions ever made.

As long as they keep cranking them out and the quality remains the same, I guess I don't care who makes them, so long as they keep stuffing them into the Silverados!

Lol, I agree. I thought Ford had some ownership in Cummins(like they had been bought out, and the Cummins/Dodge contract was still in effect) I suppose I was incorrect, lol. I dont really keep up on that stuff as much as I should. I know that the Powerjoke is made by Navistar, wasnt there some recent problems between the two? I thought Ford had some issue with the amount of warratied motors, and wanted Navistar to take some of the brunt. And Navistar refused, so Ford stopped paying, and Navistar stopped sending... I read this in some article awhile back, so I dont know what the progress is on that mess. The last thing I heard was that Ford was looking for a new company to make their diesels.

Here is a link to a site that has some info on Cummins trying to buy out some Ford stocks. I think this is to go back to being their own company. I could be wrong, but its worth checking out.

Oh and I did a little more research on the Cummins/Ford thing. I am finding alot of conflicting info. Maybe you can do a little more with your status and all. Its odd, because there are so many people with the same belief. I understand that Ford owned something like 10 percent about 10 years ago, but supposedly now they dont. That article was published in 97, so about 10 years ago. So I see that some of the info is correct, I am just unsure about the current situation betwee Ford and Cummins. I Think the Dodge/Cummins contract is supposed to be up in the near future. Like I said there is a ton of conflicting info. Like Dodge going to Mercedes engines, Chevy going to Cummins, and Ford going with who knows.

you are correct ford owns some of cummins. navstar & ford did have problems.(thats fixed) thats why i moved to work at a ford dealership. i make my money on broken fords. thats why i also own a chevy duramax. there is also talk that some one is talking to cat to make a diesel for them.(ford & toyota) new ford 6.4 are a pos

I heard similar rumors about CAT and Toyota/Ford, but that will be really surprising if Toyota does that, since Toyota owns Hino (an OTR truck company that makes high-quality diesel engines). In fact, I saw a prototype Toyota Tundra dually with a big-honkin' Hino diesel in it. The idea has since been tabled (due to low vlume of sales with the Tundra line), but I suspect that it will come around in about 3-5 years.

With the cost of gasoline on the rise, and the introduction of Common Rail Diesel technology, there will no doubt be a great proliferation of diesel vehicles (like everywhere else in the world) in the not-so-distant future.

Haha, Gas is 3.13 here and diesel is 3.58. I guarantee that I wont be buying a diesel anytime soon. I wish I could though, that is just way too much. And it would be odd (to me) if Toyota and Ford would team up considering Toyota and Chevrolet have a CoOp factory setup going on here in the states. Supposedly (please dont yell at me if I am wrong...lol) the Tacoma and Colorade/Canyon share some platform similarities. This is because they are built side by side in (I know this for sure) Fremont Ca. My exes dad works there and told me that last part. What do you all think of that stuff??

same as prior & still happening w/ gm & isuzu. w/ the canyon & the i80 & etc...(hombre) ascender & envoy & etc...

yah i just talked to one of out toyota advisors & talk w/ cay is over going w/ the hino eng. going to be out several years from now.

by dream truck is a duramax w/ a ally trans. oh wait!!! i have it already. if they can put a cat & ally together that would be another aswome combo.

as for cheaper gas. true but getting 20-26mpg on a 75000 pound truck is awsome. so you make up the cost there.

i also have read on some papper diesel is going to start getting cheaper soon. they are expecting by june or july getting down to $2.25 to $2.40 a gallon.

I sure hope so, because they are raping the shiznit out of us up here in AK. And whats really funny is this: We refine our own gasoline and diesel in AK, but the government requires us to sell it all to CA to have it "instpected" for "quality" and "octane" and "purity". Then to get gasoline and diesel back up here, we have to buy it back. And of course it is almost twice as much (47%) more than we sold it to them for. Now that is some serious BS. Just another Fed law, trying to gain more revenue when they have plenty. whewwww, sorry about the rant, it just ticks me off. I think that it would be cool to see CAT in a Chevy ( I have heard from one of my buddies who works for Peterson CAT in CA, that GM owns a large portion of them too). But I also think the Duramax has become a seriously great motor, and is extremely competitive.
